Board Governance Best Practice in 2 Modules

The Volunteer Trustee Development Networ, funded by Training Links, is running a training event for board trustees or those with leadership responsibilities in voluntary/not-for-profit organisations.

This network is made up of organisations at every stage of development, from new, community-based organisations representing  local initiatives and common interest, to registered charities and CLGs. Therefore, the training will cover the basic aspects of organisational leadership and governance, as well as more advanced information regarding the legal context of charities and and their boards.

The first workshop will provide foundational information for community leaders, committee members or trustees about the role of a board and the the information that board members need to know about their duties and responsibilities.

The second workshop will build on the first, and will explore in more detail the legal frameworks that not-for-profit organisations and charities  operate in.

A limited number of places are available to non-network members. However, due to GDPR regulations all participant organisations must be  registered with either the Waterford or Wexford Volunteer Centres.

Workshop 1 will run in the morning, followed by  Workshop 2 in the afternoon. Lunch will be provided.

Workshop 1:      Fundamentals of Board Participation, 10am to 12.30pm

  • Target audience: Community leaders, new trustees/committee members, and those considering becoming a trustee.
  • Training structure: Max 40 people round table (5 tables x 8 participants) workshop style, with an element of peer-sharing.
  • Duration : 2 hrs followed by Q&A.

Participants will gain an understanding of:

  1. “What is a Charity?” and the “Charity Test”.
  2. The purpose of the board and its responsibilities.
  3. The different roles of board members.
  4. How to ensure an effective working relationship within the board.
  5. The legal duties under the Companies Act 2014 and the Charities Act 2009.
  6. What is in the Charities Governance Code.

Workshop 2:     Regulatory Framework for Trustees and Board Members, 2pm to 4.30pm

  • Target audience: All trustees of charities or community organisations or people working with organisations looking to incorporate.
  • Training structure: Max 40 people round table (5 tables x 8 participants) workshop style, with an element of peer-sharing.
  • Duration : 2 hrs followed by Q&A.

 

Participants will gain an understanding of:

  1. The regulatory environment including Charities Act 2009,  Companies Act 2014, and ESG (Environmental, Social & Governance) Frameworks and legislation.
  2. The Charities Governance Code.
  3. What incorporation means and the legal duties and responsibilities of Charity Directors and Company Secretaries.
  4. The regulations affecting the Financial Statements, Annual Return and Audit.
  5. Awareness of FRS 102, CSORP, Companies (Accounting) Act 2017 and anticipated changes.
